香港民族黨就被公司註冊處拒絕註冊提出上訴
註冊,故已在創黨前購入新的空殼公司,預備以更改公司名稱的方式讓民族黨以「HKNP Limited」為名的有限公司存立。於正式創黨前,召集人陳浩天已通知公司註冊處公司改名的決定,惟於敝黨正式成立後,公司註冊處高層大為緊張,於2016年4月及5月間多次來信越權查問「HKNP」四個英文字母之意,將本應無需一個星期的公司改名登記程序一直拖延至7月仍未批准。

為預備將公司註冊處送上法庭,敝黨於2016年7月及8月申請將公司名稱直接更改為「香港民族黨有限公司 Hong Kong National Party Limited」,並將包括推動香港獨立在內的民族黨六大綱領寫進公司組織章程。

再度拖延多於半年,公司註冊處終於在本年2月22日正式來信,認為「香港民族黨有限公司 Hong Kong National Party Limited」屬於根據《公司條例》(香港法例第622章) 第100(1)(d)條中「處長認為屬令人反感或因其他原因屬違反公眾利益的名稱」,而拒絕登記名稱更改;並聲稱由於推動香港獨立違反基本法,故就《公司條例》第67(2), 89(2)(b)(i)及31(1)(i)條而言屬於不合法,而拒絕登記公司的組織章程更新。

民族黨認為公司註冊處上述決定完全是曲解《公司條例》條文,乃越權及違法之舉,已就此提出上訴。如再有最新消息,將盡快公佈。

[Hong Kong National Party appeals against Companies Registry's denying registration]

Since the Hong Kong National Party’s founding on 28th March, 2016, we have anticipated that the Chinese Colonial government would bar us from the Companies Registry. As such we have made ready a shell company before our official founding, and planned to transfer our Party proper to it by a simple name change into “HKNP Limited”. The Companies Registry was notified of our intention in doing so well before 28th March, 2016, and yet their higher-ups panicked since our founding announcement, and requested by mail multiple times – asking beyond their authority – what is the meaning behind the four letters, “HKNP”. What is usually a simple matter taking a week became an intentional drag through 4 months of red tape.

In preparation of filing a case against the Companies Registry, the HKNP applied for the corporation’s name to be changed directly to “ 香港民族黨有限公司 Hong Kong National Party Limited” in July and August of 2016, and included the 6 Principles of our Party into the corporate's Articles of Association.

More than half a year has since passed, and the Companies Registry has finally gave us an official letter on 22nd February, 2017, alleging “ 香港民族黨有限公司 Hong Kong National Party Limited” to be impermissible by the Companies Ordinance (Cap. 622), sections 100(1)(d), “Company must not be registered by a name that, in the Registrar’s opinion, is offensive or otherwise contrary to the public interest.” The Companies Registry also claimed that since advocacy for Hong Kong independence is unconstitutional and contrary to the Basic Law, our updating of our corporate Articles of Association runs foul of the Companies Ordinance sections 67(2), 89(2)(b)(i) and 31(1)(i).

The Companies Registry’s decisions is a complete misinterpretation of the Companies Ordinance provisions, and an illegal act, ultra vires. The HKNP has filed for an appeal, and would publish any further news regarding the issue.
